1. Acceptance of Terms
By accessing or using the Finzo ERP platform ("Service"), operated by Finzo Solutions FZE("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.
These Terms constitute a legally binding agreement between you ("User", "you") and Finzo Solutions FZE. By creating an account, you confirm that you are at least 18 years of age and have the legal authority to enter into this agreement.
2. Definitions
- Service — The Finzo ERP cloud platform, including all modules, features, APIs, and associated services.
- Tenant — A company or business entity registered on the platform with its own isolated data environment.
- User — Any individual who accesses the Service under a Tenant account.
- Subscription — The paid plan that grants access to specific modules and user limits.
- Content — All data, documents, records, and files created or uploaded by Users within the Service.
3. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information.
- Maintain the security of your login credentials.
- Notify us immediately of any unauthorized access to your account.
- Not share your account with third parties or create multiple accounts for the same individual.
You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Billing
The Service is offered on a subscription basis. Pricing, features, and limits are determined by your selected plan.
- Payment — Subscription fees are billed in advance on a monthly or annual basis. All fees are quoted in AED unless otherwise stated.
- Auto-renewal — Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Cancellation — You may cancel your subscription at any time. Access continues until the end of the current billing period.
- Refunds — Fees are non-refundable except where required by applicable law.
- Taxes — All prices are exclusive of VAT. Applicable VAT (5%) will be added to invoices as required by UAE law.
5. Data Ownership
You own your data. All Content you create, upload, or store in the Service remains your property. We do not claim ownership of your Content.
We will not access, use, or share your Content except as necessary to provide the Service, comply with legal obligations, or with your explicit consent. Full details are available in our Privacy Policy.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to reverse engineer, decompile, or disassemble the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malicious code, viruses, or harmful content.
- Use the Service to process or store data subject to heightened regulatory requirements (e.g., healthcare, classified data) without prior written agreement.
- Exceed your subscription's user or usage limits.
7. Service Availability
We strive to maintain 99.5% uptime for the Service, excluding scheduled maintenance windows. We will provide reasonable advance notice of planned maintenance.
We are not liable for downtime caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, internet outages, third-party service failures, or government actions.
8. Intellectual Property
The Service, including its design, code, documentation, trademarks, and all associated intellectual property, is owned by Finzo Solutions FZE and protected by UAE and international intellectual property laws.
Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the subscription period.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- Our total liability for any claim arising from or relating to the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
- We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunity.
10. Termination
- By you — You may cancel your subscription and close your account at any time through the Settings page or by contacting support.
- By us — We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a risk to the Service or other users.
- Data export — Upon termination, you have 30 days to export your data. After this period, we may permanently delete your Content.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.
12. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page.
- We will notify you via email and/or an in-app notification at least 30 days before the changes take effect.
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
- If you do not agree with the changes, you may cancel your subscription before the effective date.
